Private Equity & Venture Capital

We have extensive experience in all aspects of private equity work. Our lawyers advise on the full range of transactions from venture capital investments to larger cross-border mergers and acquisitions and from the initial setting up of a fund and setting up of the investment structure all the way through to exit. Our expertise includes acting for private equity investors, fund managers and also founders of companies who are taking private equity on board. Although our clients operate and invest in all industry sectors, Van Campen Liem has an important client base in the biotech and medical industries.

Corporate and Corporate Restructurings

Corporate work is at the heart of our practice, and forms the basis of all our core practice areas. We assist a range of Dutch and international clients in all sectors and advise on a broad spectrum of corporate work.
Our combined tax and notarial expertise enables us to advise on complex domestic and international corporate restructurings, for which we often work closely with other specialist law firms within or outside of the Netherlands. We have many years of experience in efficiently coordinating multi-jurisdictional restructuring for our clients.

Investment Funds

Our Investment Funds practice focuses on private equity funds, venture capital funds, real estate funds and hedge funds, but we are increasingly involved in setting up and advising on investments in alternative asset classes, renewable energy and impact investment funds. Our assistance on investment funds stretches further than mere advice on the legal process and also includes commercial and regulatory advice as well as assistance on fund raising by sharing our experience and contacts with clients from our broad network. We provide tax advice related to the structuring of the fund as well as to the carried interest entitlements and the remuneration package of the fund managers. We advise the managers in fund structuring and formation projects as well as LPs and institutional investors when negotiating their participation into funds and secondary deals.

Regulatory & Compliance

For clients we provide the capability to make legal and compliance requirements work in a practical manner. As such, clients can achieve their commercial goals in full compliance with regulatory requirements.

Our regulatory lawyers have extensive experience within the Dutch and Luxemburg regulatory spectrum. We render regulatory services including, amongst others, assisting and advising on regulatory issues relating to private equity, venture capital, asset management, FinTech and fund structuring. The team performs regulatory due diligence, determines applicable legal requirements, validates, manages regulatory testing of prospective board members, drafts regulatory compliance requirements set out in internal policies, and manages license application procedures front-to-end.
We are seasoned in managing investigations by, and communication with the supervisory authorities.

Our team has extensive knowledge of, and practical experience in the financial sector with regard to – inter alia – anti-money laundering and prevention of terrorism financing legislation (AML), AIFMD, MiFID, PRIIPs, Prospectus regime and other areas of the Dutch and Luxemburg financial supervision acts.
